Introduction

This Seller Agreement ("Agreement") is a binding contract between you ("Seller", "you") and Buddy Marketplace ("Buddify", "Buddify Marketplace", "we", "us"), governing your use of the Buddify online marketplace platform. By listing products for sale on Buddify, you agree to comply with this Agreement, our Terms of Use, and all applicable laws and regulations.

1. Seller Eligibility

You must be at least 18 years of age and able to form legally binding contracts.

You agree to provide accurate and complete information about yourself and your business and to update such information as necessary.

2. Product Listings and Content

Sellers are responsible for ensuring their listings and content are accurate, not misleading, and comply with all applicable laws and Buddify policies.

Prohibited products include, but are not limited to, illegal items, counterfeit goods, and items violating intellectual property rights.

3. Pricing and Fees

Sellers agree to set fair and competitive prices for their products, including any applicabletaxes and shipping costs.

Buddify reserves the right to charge listing fees, commission on sales, and any other service fees as outlined in our Fee Schedule.

4. Order Processing and Fulfillment

Sellers must process orders and ship products within the time frames specified in their listings.

Sellers are responsible for ensuring that products are packaged securely and arrive in the condition described in the listing.

5. Returns, Refunds, and Customer Service

Sellers must clearly state their return and refund policies in their listings.

Sellers agree to provide prompt and courteous customer service and to resolve disputes directly with buyers in accordance with Buddify policies.

6. Payments and Financial Transactions

Sellers are responsible for any taxes, duties, or other governmental levies associated with their sales.

7. Intellectual Property

Sellers warrant that they have the right to sell the products listed and that their listings do not infringe on any third party's intellectual property rights.

Buddify respects intellectual property rights and provides a process for addressing claims of infringement.

8. Compliance with Laws

Sellers agree to comply with all local, state, federal, and international laws and regulations applicable to their use of Buddify and their sale of products.

9. Termination and Suspension

Buddify reserves the right to terminate or suspend a seller's account for breach of this Agreement, illegal activities, or any other conduct deemed harmful to the marketplace or its users.

10. Dispute Resolution

Sellers agree to resolve any disputes arising out of or related to this Agreement or their use of Buddify through final and binding arbitration, except as otherwise stated in this Agreement.

11. Amendments and Modifications

Buddify reserves the right to amend or modify this Agreement at any time, with notice to sellers. Continued use of the platform after such changes constitutes acceptance of the new terms.

12. Limitation of Liability

Buddify shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Buddify operates, without regard to its conflict of law principles.

14. Permissions for Listing and Discounting through the Buddify Shopify App

By listing products on our Shopify app, brands ("Sellers") grant Buddify Marketplace the permission to offer these products on the Buddify Marketplace platform.

During the onboarding process to the Buddify Shopify app,Sellers agree to provide a promised discount rate for their products. This discount rate will be honored and applied to the products when they are offered on the Buddify Marketplace.

Sellers acknowledge that by providing this discount rate, they authorize Buddify Marketplace to display and sell their products at the discounted price directly on the Buddify Marketplace, as well as through the Buddify app on Shopify.

Sellers confirm that they have the legal right to grant these permissions and that this arrangement does not infringe upon any agreements with third parties or violate any laws.

Buddify commits to maintaining the integrity of the Sellers' brands and to fostering a collaborative environment that benefits both Sellers and Buyers on the platform.

Conclusion

By listing on the Buddify, sellers acknowledge that they have read, understood, and agreed to be bound by this Seller Agreement, along with any other policies and agreements that Buddify may require.
